Seyo Terms of Service
Effective date: [EFFECTIVE DATE]
Last updated: [LAST UPDATED DATE]
The short version
- Your music is yours. You keep 100% of your masters, publishing and name. Seyo never owns your work.
- Be real and be kind. Use your own identity, respect other people, and only upload what you have the rights to.
- Meeting in person is your choice. Seyo helps you link up, but you're responsible for your own safety. Meet in public places.
- Paid plans renew until you cancel. Seyo keeps a small fee on money paid out through the app (see section 10).
- Seyo is provided "as is", and our liability is limited (see sections 17 and 18).
These Terms are a legal agreement. Please read them in full.
1. Agreeing to these Terms
These Terms of Service ("Terms") are an agreement between you and 30TWO Media LLC ("Seyo", "we", "us"), [COMPANY ADDRESS]. They cover the Seyo apps, the website at [inde32.app], and your link page and web card (the "Services").
By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use Seyo.
If you use Seyo for a business, band or label, you're agreeing on its behalf and confirming you're allowed to.
2. Who can use Seyo
You may use Seyo only if:
- you are at least 13 [or older, if the law where you live requires it];
- the date of birth you give us is true;
- you aren't barred from using the Services by law;
- we haven't previously banned you; and
- you aren't on a government sanctions list or in a country under comprehensive sanctions.
If you're under 18:
- [If the law where you live requires it: you need a parent's or guardian's permission to use Seyo, and they agree to these Terms for you.]
- You can't use the 18+ features: venue and booker accounts, bookings and offers, "a slot opened tonight", applying to venue dates, in-person link-ups and the link-up map, Scan and matching, the marketplace, and events marked 18+ or 21+.
- You can message, and be messaged by, only people you follow who follow you back. Adults can't start a chat with you.
If you're 18 or over, you agree not to use Seyo to contact, meet, book or trade with someone you know or suspect is under 18 outside these rules.
Age checks. You can't change your date of birth yourself after you set it; contact alex@seyoapp.com to fix a mistake. We may later ask you to confirm your age with an ID check before you use 18+ features. If you give a false date of birth, we may close your account.
3. Your account
- Be accurate. Give true information and keep it up to date. You may use an artist or professional name, but you may not pretend to be someone else.
- One person, one account, unless we allow otherwise (for example label team seats).
- Keep it secure. You're responsible for what happens on your account. Tell us at alex@seyoapp.com if you think someone else has accessed it.
- Handles. We may change or reclaim a handle that impersonates someone, infringes a trademark, or has gone unused for a long time.
- Verification. A verified badge means we checked that the person behind the account matches its photos. It isn't an endorsement, and it doesn't mean we checked their claims about their career.
4. Your content and your music
"Your content" means anything you add to Seyo: music, videos, photos, artwork, posts, messages, profile details, listings, events and documents.
You own your content. Seyo does not take ownership of your music, masters, publishing, name or likeness.
The permission you give us. So we can run Seyo, you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, show, play, stream, format and share your content only to provide, promote and improve the Services. For example, this lets us:
- play your song on Radio Seyo;
- show your video on Watch Seyo;
- display your shelf on your profile and link page;
- feature your public work in Seyo charts or the Seyo Weekly if you opted in to trends.
This license:
- ends when you delete the content or your account, except for copies other people have already saved or shared through features you used (for example a split sheet they signed), and backups we delete within [X DAYS];
- [does not let us sell your music or license it to anyone else for their own use];
- [CONFIRM: covers using your public profile and work in Seyo's own marketing, with an opt-out at [WHERE]].
You promise that:
- you own your content or have all the rights and permissions needed to post it and give us this license (including from co-writers, producers, featured artists, labels, publishers and anyone who appears in it);
- your content doesn't break any law or anyone else's rights; and
- the credits and splits you enter are accurate to the best of your knowledge.
Releases, distribution and publishing. If you use Seyo to send releases to streaming services or to collect publishing royalties, those services are provided with [DISTRIBUTION PARTNER] and [PUBLISHING PARTNER, e.g. Songtrust]. Additional terms will apply, and we'll show them to you before you sign up for those features.
5. Rules for using Seyo
You agree not to:
- harass, threaten, bully, stalk or intimidate anyone, or encourage others to;
- post hate speech, sexual content involving minors, sexually explicit content, or content that promotes violence or self-harm;
- impersonate a person, artist, label or company, or misrepresent your connection with them;
- upload music, videos, art or anything else you don't have the rights to;
- spam, scam, run pyramid schemes, or send unwanted commercial messages;
- as a venue, charge artists or ask them for money to apply or to play ("pay-to-play"), or post fake gigs;
- collect other members' information, or use bots, scrapers or automated tools on Seyo without our written permission;
- use someone's link-up or map information to find, follow or show up on them uninvited;
- buy, sell or fake plays, followers, link-ups, reviews or chart positions;
- sell anything illegal, dangerous, stolen or counterfeit;
- break or try to get around our security, access-code or rate limits, or reverse-engineer the Services (except where the law allows);
- use Seyo to break any law.
What we can do. We may remove content, limit features, or suspend or close accounts that break these rules or put people at risk. Where it's reasonable, we'll tell you why and give you a way to appeal at alex@seyoapp.com.
Report and block. You can report people or content from their profile. You can block anyone; they won't be told.
6. Meeting people in person
Seyo is built around meeting people in real life: linking up, studio sessions, gigs, events and marketplace pickups.
- Seyo doesn't screen members. Apart from optional verification (section 3), we don't run background checks, and we can't guarantee that anyone is who they say they are or will behave well.
- You're responsible for your own safety. Meet in public places, tell a friend where you're going, and trust your instincts. [LINK TO SAFETY TIPS]
- Event hosts are responsible for their events: the venue, safety, following local laws and permits, and what happens there. Seyo isn't the organizer of events listed by members.
- Report problems to us at alex@seyoapp.com. In an emergency, call your local emergency number first.
To the fullest extent the law allows, Seyo isn't responsible for the actions of members or for what happens when you meet them (see section 18).
7. Messages and offers
- Messages are between you and the people you talk to. Follow section 5 in messages too.
- An offer (for example a price for a beat, a feature or a service) is between you and the other person. Once accepted, it's an agreement between you two, not with Seyo, unless it's paid through Seyo (section 8).
- Sharing work "with terms" (for example a beat with a price, rights and split) is a proposal from you. If the other person accepts, you're each responsible for honoring it.
8. Marketplace, gigs and open calls
Seyo is a platform, not a party to your deals. We're not the buyer, seller, employer, agent or label in deals made through Seyo, unless we clearly say so.
- Listings stay up for [24 hours] and can be renewed. Sellers must describe items and services honestly, have the right to sell them, and follow the law. Listing locations are approximate; the exact pickup spot is shared in chat after purchase.
- Paid gigs and marketplace payments made through Seyo are held by [PAYMENT PROVIDER] until the work is approved or the item is picked up, then released to the seller, minus Seyo's fee (section 10). [DESCRIBE: how approval works, the automatic release period, and what happens in a dispute.]
- Disputes. If something goes wrong, try to sort it out with the other person first. You can ask us for help at alex@seyoapp.com. We may decide, at our discretion, whether to release or refund held money, based on the information we have. [LAWYER: review the dispute and chargeback process.]
- Venues and bookings.
- Verified venues only. A venue account can post open dates only after Seyo has verified it (for example, by checking that its website or listing matches and calling its public phone number). A verified tick means we checked the venue exists. It isn't a promise about how the venue will treat you.
- No pay-to-play. Venues must never charge artists, or ask them to pay, buy tickets, or guarantee a number of sales, to apply or to play. Report a venue that does with Report › Asked me to pay to play. We may remove its open dates and ban it.
- A booking is between the venue and the artist. The pay shown on a booking is what the two of you agreed. Seyo doesn't pay it or collect it, and isn't responsible if a show is cancelled or a venue doesn't pay. Either side can cancel before the night, and the other side is told.
- Invites. Venues can invite only artists who turned on Open to bookings, and only a limited number each day.
- Open calls. Venues, labels, curators and Seyo can post open calls. They are free to enter; no paid entries are allowed. Whoever runs an open call is responsible for running it fairly and for its own rules. Submitting doesn't guarantee anything.
- Independent contractors. People you hire through Seyo are not Seyo employees, and you're not ours. You're responsible for your own taxes, permits and insurance.
9. Plans and subscriptions
Seyo is free to join. Some features cost money, either as a plan (for example Seyo Plus or Seyo Max), a bundle, a label team plan, or individual tools and boosts. Prices are shown in the app before you buy. [Prices may vary by country and include or exclude tax as shown.]
- Auto-renewal. Subscriptions renew automatically at the end of each period (monthly or yearly) at the then-current price, until you cancel.
- Cancelling. You can cancel at any time. You keep access until the end of the period you paid for.
- Bought in the iPhone or Android app: cancel in your App Store or Google Play subscription settings.
- Bought on the website: cancel in Settings › Your plan.
- Refunds. Except where the law requires otherwise, payments aren't refundable and we don't give refunds for partly used periods. Purchases made through Apple or Google follow their refund policies.
- Price changes. We'll tell you in advance before a price change affects your subscription, and you can cancel before it does.
- Free trials and promotions follow the terms shown when you sign up. [If trials convert to paid, say so clearly here.]
- Minimum plan. Custom plans have a minimum of [$4.99] a month.
10. Pay as you earn and fees
Pay as you earn is an optional way to use paid tools without a monthly price.
- Seyo keeps [5%] of money paid out to you through the app: royalties, distribution, gigs and deals.
- That fee is never more than [$19.99] in a month.
- No advance, no term, no exit fee. You can switch back at any time.
Fees. Seyo may charge these fees. The current fees are always shown in the app before you agree to them.
| What | Seyo's fee |
|---|---|
| Streaming royalties paid through Seyo | [0%] |
| Publishing royalties collected through [PUBLISHING PARTNER] | [15% of royalties collected] |
| Merch, gigs and marketplace sales (paid by the seller) | [5%] ([3%] on Seyo Max for merch) |
| Standard cash out to your bank (1 to 3 business days) | [Free] |
| Instant cash out | [1.5%] |
Payouts are made through [PAYMENT PROVIDER, e.g. Stripe]. You may need to set up an account with them and verify your identity before you can be paid. You're responsible for any taxes on money you earn. We may hold or reverse payouts if we suspect fraud, a chargeback, or a breach of these Terms.
11. Split sheets, deals and templates
- Seyo offers templates (for example split sheets and simple deal sheets) to help you record agreements. They are not legal advice, and Seyo isn't your lawyer. For anything important, talk to a lawyer.
- The agreement is between the people who sign it. Seyo is not a party to it and doesn't enforce it.
- Signing. When you sign in Seyo, you agree that your electronic signature is legally binding, as if you'd signed on paper. [CONFIRM: certified e-signature delivery, an audit trail and PDF copies through [E-SIGNATURE PROVIDER] before relying on this.]
- After you delete your account, signed documents stay available to the other people who signed them.
12. Hobie (AI assistant)
Hobie is an AI assistant that answers questions and makes suggestions.
- Hobie can be wrong, out of date or incomplete. Check anything important before you rely on it.
- Hobie doesn't give legal, financial, tax or medical advice, even if it seems to. You're responsible for your own decisions.
- Don't use Hobie to create anything that breaks section 5.
- You own your questions. To the extent the law allows, you can use Hobie's answers as you like, but similar answers may be given to other people.
- How Hobie uses your information is explained in our Privacy Policy, section 7.
13. Linked accounts and other services
Seyo works with other services, such as Spotify, Apple Music, Instagram, TikTok, YouTube, Shopify, Google, Apple, [PAYMENT PROVIDER], [DISTRIBUTION PARTNER] and [PUBLISHING PARTNER].
- Your use of those services is covered by their own terms.
- We aren't responsible for them, and they may change or stop working with Seyo at any time.
- If a connected service stops sharing data with us, some features (such as stats) may stop updating.
Apple App Store. If you downloaded Seyo from the App Store:
- These Terms are between you and Seyo, not Apple. Apple isn't responsible for the app or its support.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and can enforce them.
- [LAWYER: include the remaining Apple-required terms.]
14. Copyright complaints
We respect creators' rights. If you believe something on Seyo infringes your copyright, send a notice to our copyright agent:
[COPYRIGHT AGENT NAME], [ADDRESS], alex@seyoapp.com
Your notice must include:
- your signature;
- what work you believe is infringed;
- where the material is on Seyo;
- your contact details;
- a statement that you believe in good faith the use isn't authorized; and
- a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorized to act for them.
If your content was removed and you believe that was a mistake, you can send a counter-notice. We close the accounts of repeat infringers. [LAWYER: complete the DMCA process and register the agent with the U.S. Copyright Office.]
15. Ending your account
- You can delete your account at any time in Settings › Delete account.
- It happens right away and can't be undone.
- Paid features are cancelled. Money waiting to be paid out is still sent to you.
- See the Privacy Policy, section 13, for what happens to your data.
- We can suspend or close your account if you break these Terms, if the law requires it, or if your account puts other people or Seyo at risk. Where it's reasonable, we'll tell you why and how to appeal.
- We can change or stop features, or the Services altogether. If we shut down a paid feature you've paid for, we'll [give a pro-rated refund / give reasonable notice].
- After your account ends, these sections still apply: 4 (the licence for content already shared), 8 (deals already made), 10 (fees owed), and 16 to 21.
16. Our rights
Seyo's name, logo, design, software and content we create belong to Seyo or our licensors. You may not use them without our permission, except to describe or link to your Seyo profile. If you send us feedback or ideas, we can use them without paying you.
17. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent the law allows, Seyo makes no promises or warranties of any kind, express or implied. This includes promises that the Services:
- will be uninterrupted, error-free or secure;
- will be fit for a particular purpose; or
- will get you plays, followers, gigs, deals or income.
Stats, charts, matches, scores and Hobie answers are estimates.
Some places don't allow these disclaimers, so some of them may not apply to you.
18. Limits on our liability
To the fullest extent the law allows:
- Seyo isn't liable for:
- indirect, incidental, special, consequential or punitive damages;
- lost profits, revenue, data or opportunities;
- the conduct of other members or third parties, online or in person.
- Seyo's total liability for any claim about the Services is limited to the greater of:
- (a) the amount you paid Seyo in the 12 months before the claim, or
- (b) [$100].
Some places don't allow these limits. If you live in one of them, the limits apply only as far as the law allows. Nothing in these Terms limits liability that can't be limited by law, such as for fraud, or for death or personal injury caused by negligence.
19. Your responsibility to us
If you break these Terms or the law, or your content infringes someone's rights, you agree to cover Seyo's losses and reasonable legal costs from any resulting claim, to the extent the law allows.
20. Disputes
- Talk to us first. Most problems can be solved quickly at alex@seyoapp.com.
- Governing law. These Terms are governed by the laws of [STATE / COUNTRY], apart from its conflict-of-law rules. [If you're a consumer in the EU or UK, you also keep the protections of your own country's law.]
- Where disputes are decided. [OPTION A: the state and federal courts in [COUNTY, STATE].] [OPTION B: binding individual arbitration under [ARBITRATION RULES], with a class-action waiver, a small-claims exception and a 30-day opt-out.]
21. Other terms
- Changes. We may update these Terms. For important changes, we'll tell you in the app or by email before they take effect. Using Seyo after that means you accept the new Terms. If you don't agree, you can delete your account.
- Entire agreement. These Terms, the Privacy Policy and any extra terms we show you for specific features are the whole agreement between you and Seyo about the Services.
- If part of these Terms can't be enforced, the rest still applies.
- If we don't enforce a term right away, we can still enforce it later.
- Transfer. You can't transfer these Terms to anyone else. We can transfer them, for example if Seyo is sold.
- Language. If we provide these Terms in another language (for example Spanish) and the versions differ, [the English version applies, unless your local law says otherwise].
